This Referral Partner Agreement (the “Agreement”) is entered into between Northern Arizona Referral Network (the “Network”) and the business enrolling through this website (the “Partner”). By checking the agreement box on the sign-up form, the Partner accepts these terms.
The Network operates an online directory of local businesses. It will list the Partner and may direct interested customers to the Partner through links, enquiry forms, and its own marketing. The Partner remains solely responsible for accepting, fulfilling, and servicing all bookings. The Network is not a booking agent, does not take reservations, and never handles customer payment.
The Network charges flat fees only. It does not charge, and will not accept, any commission, percentage, per-booking amount, or other payment contingent on a customer transaction. Basic listing in the directory is free of charge.
Two optional paid tiers are available as flat monthly subscriptions, billed in advance:
There is nothing for the Partner to report, reconcile, or remit. A paid tier may be cancelled at any time; cancellation stops future charges and removes the badge and any priority placement, while the free listing continues.
Where the Partner subscribes to a tier including verification, the Network will confirm specified items — which may include business identity, licence, insurance, contact details, and local ownership — and will publish which items were checked together with the date of the check.
Verification is a point-in-time check and is not an endorsement, a recommendation, or any guarantee of the quality, safety, or outcome of the Partner’s work. The Partner warrants that all information provided for verification is accurate, and will notify the Network promptly if any verified licence or insurance lapses, is suspended, or is revoked. The Network may withdraw verification at any time, including for non-payment or inaccuracy.
Verification cannot be purchased. Payment of any fee entitles the Partner to have checks performed; it does not entitle the Partner to a particular result.
Priority placement under the Partner tier is advertising and will be clearly labelled as such wherever it appears. The Network will not represent paid placement as an editorial ranking, a rating, or a measure of quality. The absence of any badge or paid placement does not imply that a business is unverified in fact, or that it is untrustworthy.
This Agreement is month-to-month. Either party may terminate it at any time with written notice (email is sufficient). Fees are not pro-rated on cancellation unless required by law. Amounts already billed for a completed period remain payable.
The parties are independent contractors. Nothing here creates a partnership, joint venture, employment, or agency relationship. Neither party may bind the other.
The Partner represents that it holds all licenses and permits required to operate its business, and that the person enrolling is authorized to bind the Partner.
The Network provides listings and referrals only and makes no warranty regarding traffic, enquiries, or booking volume. The Network is not liable for the Partner’s goods or services, and the Partner will not hold the Network responsible for disputes between the Partner and its customers. To the maximum extent permitted by law, the Network’s aggregate liability under this Agreement will not exceed the fees paid by the Partner in the prior three months.
This Agreement is governed by the laws of the State of Arizona. Any dispute will be resolved in the state or federal courts located in Yavapai County, Arizona.
